Please read these terms carefully before using SpenVest. By accessing or using our services, you agree to be bound by these terms.

Important Notice
If you do not agree to these terms, do not use the Services. By continuing to use SpenVest, you acknowledge that you have read, understood, and agree to be bound by these Merchant Terms.

Appointment and Scope
SpenVest appoints Merchant as a participating merchant subject to this Agreement. Merchant agrees to comply with Platform Rules and applicable law.
Merchant Representations and Warranties
Merchant warrants compliance with Australian Consumer Law and all applicable regulations. Merchant warrants authority to sell listed products and run campaigns.
POS Integration and Data Access
Merchant must complete OAuth authorisation for transaction ingestion. Merchant grants SpenVest licence to process transaction data for SVC calculation and analytics.
Smart Value Credits (SVC)
SVC are promotional store credits issued by Merchant under Merchant’s configured reward rules. SVC are merchant-specific and redeemable only with Merchant (no cross-merchant redemption). Merchant is responsible for honoring SVC redemptions at checkout in accordance with Merchant’s program rules.
- SVC is merchant-issued store credit (a discount instrument), not cash.
- Customer spend updates threshold progress automatically in the SpenVest experience.
- Once a configured threshold is reached, SVC is issued for Merchant under Merchant’s active rules.
- When a customer redeems SVC, Merchant applies it at checkout as a discount and the tracked balance decreases accordingly.
- SpenVest tracks eligibility, balances, and redemption rules as software and does not hold client funds or provide financial custody.
Subscription and Fees
Merchant must pay subscription fees per selected tier. Failure to pay may result in suspension.
Cashback, Gift and Special Campaigns
Merchant controls configuration and funding of campaigns. Merchant bears financial responsibility for funded promotional obligations.
Delivery and Workplace Safety
Merchant is solely responsible for drivers, insurance, and safety compliance.
Indemnity
Merchant indemnifies SpenVest against claims arising from product defects, regulatory breaches, consumer disputes, delivery incidents, and misrepresentation.
Limitation of Liability
SpenVest liability is capped to fees paid in the preceding 12 months. SpenVest is not liable for lost profits or indirect loss.
Insolvency and Termination
SpenVest may terminate for insolvency, fraud, non-payment, or regulatory breach. Outstanding obligations survive termination.
Confidentiality
Merchant must keep confidential any non-public information received from SpenVest.
Governing Law
This Agreement is governed by the laws of New South Wales, Australia.
