Please read these terms carefully before using SpenVest. By accessing or using our services, you agree to be bound by these terms.

If you do not agree to these terms, do not use the Services. By continuing to use SpenVest, you acknowledge that you have read, understood, and agree to be bound by these Customer Terms.

Definitions and Interpretation
‘Smart Value Credits’ or ‘SVC’ means promotional store credits issued by participating merchants and tracked within the SpenVest Platform. ‘Merchant-specific’ means redeemable only with the issuing merchant (not spendable across merchants). ‘Gift Value Credits (Gift Cards)’ means prepaid promotional value issued or purchased within the Platform and redeemable only with the selected merchant. References to legislation include amendments and replacements.
Platform Nature and Regulatory Position
SpenVest operates as a behavioural commerce and promotional infrastructure platform. SpenVest is not a bank, authorised deposit-taking institution, stored value facility, payment processor, or financial services provider. SVC do not constitute money, deposits, securities, derivatives, or financial products under the Corporations Act 2001 (Cth).
Account Eligibility and Verification
Users must be at least 18 years old and legally capable of entering binding contracts. SpenVest may require identity verification and suspend accounts pending verification. Users must maintain accurate and up-to-date information.
Smart Value Credits (SVC)
Customers earn SVC points through eligible spending with participating merchants. Each $1 of eligible spend earns 1 SVC point, subject to merchant rules and product eligibility. SVC points accumulate toward reward thresholds configured by each merchant. When a threshold is met, accumulated points are converted into SVC dollar value that can be redeemed with the issuing merchant. SVC dollar value has no cash value, cannot be withdrawn, and cannot be exchanged outside the issuing merchant’s program. Transfers are only permitted where gifting is explicitly supported. The conversion rate, threshold levels, and redemption conditions are set by each merchant and may vary between merchants, campaigns, and product categories. SVC are issued under each merchant’s promotional rules once eligibility and threshold conditions are satisfied. SVC may expire in accordance with merchant rules or campaign terms. SpenVest may reverse SVC for refunds, chargebacks, fraud, or system error. ### Returns and Adjustments If you return a purchase that earned SVC, the associated reward will be reversed. If the SVC has not been redeemed, it will be removed from your balance. If you have already redeemed the SVC, SpenVest will apply an internal adjustment that offsets future SVC earnings until the correction is cleared. You will not see a negative balance — adjustments appear as balance corrections or reduced future accrual. SpenVest may also recalculate threshold progress to exclude returned transactions.
Cashback, Promotions and Campaigns
Cashback is issued as SVC unless otherwise stated. Promotional campaigns may include restrictions, expiry periods, caps, and eligibility conditions. SpenVest may modify or withdraw promotions at any time.
Gift Credits
Gift credits are redeemable only with the selected/issuing merchant. Gift credits are non-refundable, not redeemable for cash, and subject to expiry. Users are responsible for ensuring correct recipient information.
Loyalty Cards Wallet
SpenVest provides a Loyalty Cards Wallet that allows you to store and display your existing third-party loyalty and membership cards within the app. The Loyalty Cards Wallet is a display-only convenience feature. SpenVest does not access, sync, validate, or connect to third-party loyalty program systems. SpenVest is not affiliated with, endorsed by, or connected to any third-party loyalty or rewards program provider. The availability of this feature does not imply any partnership or commercial relationship with any loyalty program. SpenVest is not responsible for loyalty points, rewards balances, program rules, or whether a stored barcode is accepted by any merchant or point-of-sale system. You are responsible for ensuring that card details you store are accurate and that you are authorised to use the cards you add. You must only store loyalty cards that belong to you or that you have permission to store. SpenVest may modify, suspend, or withdraw the Loyalty Cards Wallet feature at any time.
Online Shop and Merchant Transactions
Merchants are solely responsible for product accuracy, pricing, fulfilment, and compliance with Australian Consumer Law. SpenVest is not the seller of record unless expressly stated. Nothing in these Terms excludes statutory consumer guarantees under the Australian Consumer Law.
Delivery and Logistics
Delivery services are provided by merchants or third parties engaged by merchants. SpenVest bears no responsibility for delivery timing, safety, or logistics performance.
Messaging and Communications
Messaging is limited to commerce workflow coordination including enquiries, orders, refunds, and support. SpenVest may monitor communications for compliance and fraud prevention.
No investment or brokerage services
SpenVest does not provide investment products, brokerage services, financial advice, or custody.
Fraud, Abuse and Suspension
SpenVest may suspend or terminate accounts for suspected fraud, artificial transaction cycling, or misuse. SpenVest may withhold or reverse SVC pending review.
Limitation of Liability
To the maximum extent permitted by law, SpenVest excludes liability for indirect, consequential, or incidental loss. Liability is capped to the greater of AUD $100 or fees paid in the preceding 12 months. Nothing limits rights under the Australian Consumer Law.
Force Majeure
SpenVest is not liable for failure or delay caused by events beyond reasonable control including natural disasters, cyber incidents, regulatory changes, or third-party outages.
Dispute Resolution
Disputes must first be addressed through good faith negotiation. If unresolved, disputes are subject to the exclusive jurisdiction of the courts of New South Wales.
Governing Law
These Terms are governed by the laws of New South Wales, Australia.
